Contractors Direct Affiliate Programme T&Cs

Please read these Terms and Conditions carefully.
  • 1. Definitions

    1.1 In these Terms and Conditions, references to "Contractors Direct", "we", "us", and "our" mean Contractors Direct.

    1.2 References to "you" and "your" mean users of our website and, where applicable, participants in the Affiliate Programme.

    1.3 "Affiliate" means by registering on the Contractors Direct website and joining the Affiliate Partner Programme, you confirm that you have read, understood, and accepted these Terms and Conditions.

    1.4 "Affiliate Programme" means the Contractors Direct referral and affiliate programme governed by these Terms and Conditions.

    1.5 "Client" means a person, company, or other legal entity introduced to Contractors Direct by an Affiliate that has entered into a formal agreement with Contractors Direct for relevant project related services. For the avoidance of doubt, a lead, enquiry, prospect, expression of interest, or informal discussion shall not, on its own, constitute a Client.

    1.6 "Referral" means a lead, introduction, contact, or opportunity submitted by an Affiliate in accordance with these Terms and Conditions.

    1.7 "Qualifying Project" means a project that, in Contractors Direct’s reasonable discretion, is genuine, within scope, commercially viable, and has proceeded to a confirmed live project engagement through Contractors Direct.

    1.8 "Successful Referral" means a Referral that becomes a Qualifying Project and satisfies all payment conditions set out in these Terms and Conditions.

    1.9 "Project Value" means the total value of the project as recorded and confirmed by Contractors Direct in the relevant client agreement for the purpose of fee banding, excluding VAT unless Contractors Direct expressly states otherwise in writing.

    1.10 "Full Payment" means full payment of all fees due to Contractors Direct under the relevant client agreement in respect of the referred project.

  • 2. Programme Overview

    2.1 The Affiliate Programme allows Affiliates to refer prospective clients, project opportunities, or qualified introductions to Contractors Direct in return for a referral fee where a Successful Referral converts into a Qualifying Project and all applicable payment conditions have been satisfied.

    2.2 By signing up, accepting these Terms and Conditions, and receiving an onboarding email from Contractors Direct, you become an Affiliate in the Affiliate Programme.

    2.3 Participation in the Affiliate Programme is non exclusive. Contractors Direct may engage with other affiliates, introducers, partners, agencies, employees, or marketing channels at any time.

    2.4 Participation in the Affiliate Programme does not create any employment, agency, partnership, joint venture, representative, or fiduciary relationship between Contractors Direct and any Affiliate.

    2.5 Nothing in these Terms and Conditions guarantees that any Affiliate will generate referrals, earn referral fees, or receive any minimum level of payment under the Affiliate Programme.

  • 3. Eligibility and Approval

    3.1 The Affiliate Programme is open to introducers, consultants, brokers, property professionals, content creators, and other individuals or businesses that wish to participate in accordance with these Terms and Conditions.

    3.2 To become an Affiliate, you must:

    1. complete the sign up process
    2. accept these Terms and Conditions
    3. submit your details through an approved registration route
    4. receive an onboarding email from Contractors Direct

    3.3 Once you receive the onboarding email referred to in clause 3.2(d), you are an Affiliate for the purposes of the Affiliate Programme.

    3.4 You must provide accurate, complete, and current information during sign up and must promptly notify Contractors Direct of any material changes to your details.

  • 4. Submission of Referrals

    4.1 Referrals must be submitted through the Affiliate’s unique referral link provided by Contractors Direct, or through any other referral method expressly authorised in writing by Contractors Direct.

    4.2 A Referral will only be treated as valid for the purposes of the Affiliate Programme if the relevant prospective Client submits an enquiry using that unique referral link or through another authorised method expressly approved by Contractors Direct in writing.

    4.3 Any enquiry submitted directly through the Contractors Direct website, or through any other channel not linked to the Affiliate’s unique referral link or otherwise expressly authorised by Contractors Direct, shall not be recognised as a Referral under the Affiliate Programme and shall not be eligible for commission.

    4.4 Only Referrals that are received and successfully recorded by Contractors Direct through the designated referral link or another expressly authorised referral route shall be treated as logged, accepted, protected, and eligible for commission.

    4.5 Contractors Direct shall have sole discretion as to the manner in which a Referral is handled, qualified, pursued, priced, or declined, subject to these Terms and Conditions.

  • 5. Qualifying Criteria

    5.1 A Referral shall only qualify for payment where all of the following conditions are satisfied:

    1. the referred opportunity is new to Contractors Direct and has not already been introduced, registered, engaged, quoted, or actively discussed with us by another party
    2. the Referral relates to a genuine project opportunity within the scope of services Contractors Direct is willing and able to support
    3. the Client has signed the relevant agreement with Contractors Direct
    4. the project has been confirmed as live by Contractors Direct
    5. Full Payment has been received by Contractors Direct
    6. the Referral has not been excluded under these Terms and Conditions

    5.2 For the avoidance of doubt, all of the conditions in clause 5.1 are necessary conditions, and referral fees become payable only once the Full Payment condition in clause 5.1(f) has been satisfied.

  • 6. Referral Fee Structure

    6.1 Subject to these Terms and Conditions, the referral fee payable for each Successful Referral shall be determined by reference to the applicable Project Value band as follows:

    1. Projects between AED 50,000 and AED 99,999: AED 500
    2. Projects between AED 100,000 and AED 199,999: AED 1,000
    3. Projects between AED 200,000 and AED 499,999: AED 3,000
    4. Projects between AED 500,000 and AED 799,999: AED 5,000
    5. Projects between AED 800,000 and AED 999,999: AED 10,000
    6. Projects AED 999,999 and above: AED 15,000

    6.2 Project Value for fee banding purposes shall be determined solely by Contractors Direct based on the relevant client agreement and its internal commercial records.

    6.3 Contractors Direct may amend the referral fee structure at any time. Any revised fee structure shall apply prospectively only, unless otherwise expressly stated by Contractors Direct in writing.

  • 7. Payment Terms

    7.1 Referral fees are payable only in respect of Successful Referrals.

    7.2 No referral fee shall be due merely because an introduction was made, a conversation took place, a meeting was held, a proposal was issued, or a project was discussed.

    7.3 Contractors Direct will not request or collect bank account details from Affiliates at the point of initial sign up.

    7.4 When a referral fee becomes due, Contractors Direct’s finance team may contact the relevant Affiliate to request the information reasonably required to process payment, including bank details, identification details, tax information where applicable, and a receipt acknowledgement, payment release form, or similar confirmation document.

    7.5 The Affiliate must provide the requested payment information and sign any reasonable payment confirmation documentation required by Contractors Direct before funds are released.

    7.6 Unless otherwise agreed in writing, approved payments shall be processed within 30 days after:

    1. the Referral has become a Successful Referral
    2. all payment conditions have been satisfied
    3. the Affiliate has provided all required payment information
    4. the Affiliate has signed any required payment confirmation documentation

    7.7 Any tax, reporting, accounting, or regulatory obligation arising from the Affiliate’s receipt of a referral fee shall be the sole responsibility of the Affiliate unless applicable law provides otherwise.

  • 8. Exclusions and Non Payable Referrals

    8.1 Referral fees shall not be payable in any of the following circumstances:

    1. the lead or project is already known to Contractors Direct
    2. the lead is already active within the Contractors Direct pipeline
    3. the lead has already been introduced by another person, partner, source, or channel
    4. the Referral relates to an existing Contractors Direct client
    5. the Referral is an internal lead
    6. the Referral is submitted by an employee of Contractors Direct
    7. the Referral is a self referral
    8. the opportunity does not proceed
    9. the project falls outside scope
    10. the project is not commercially viable
    11. the Client fails to sign, pay, proceed, or complete the relevant commercial arrangement
    12. the Affiliate has acted in breach of these Terms and Conditions

    8.2 No referral fee shall be payable in respect of existing Contractors Direct clients, active opportunities, or leads already held within the Contractors Direct pipeline.

    8.3 Contractors Direct reserves the right to withhold, delay, offset, recover, or refuse any referral fee where it reasonably believes that:

    1. the Referral was submitted fraudulently
    2. the Referral was submitted in bad faith
    3. these Terms and Conditions have been breached
    4. applicable law or regulation has not been complied with
    5. payment has been made in error
    6. the Affiliate’s conduct has caused or may cause reputational harm to Contractors Direct
  • 9. Multiple Claims and Lead Ownership

    9.1 Where more than one person or entity claims the same Referral or opportunity, Contractors Direct shall determine, acting reasonably, which party, if any, is entitled to any referral fee.

    9.2 In making that determination, Contractors Direct may consider the timing of the introduction, the route through which it was submitted, the completeness and quality of the information provided, the degree of causation between the introduction and the eventual transaction, and any other relevant evidence.

    9.3 Contractors Direct’s decision on lead ownership, attribution, and referral fee entitlement shall be final.

  • 10. Affiliate Responsibilities

    10.1 Affiliates must represent Contractors Direct honestly, accurately, responsibly, and in a manner consistent with applicable law.

    10.2 Affiliates must not:

    1. present themselves as employees, agents, authorised representatives, or legal representatives of Contractors Direct
    2. make promises, warranties, guarantees, contractual assurances, pricing commitments, service commitments, or other statements on behalf of Contractors Direct
    3. create, publish, distribute, or promote content that is false, misleading, defamatory, unlawful, offensive, infringing, or harmful to Contractors Direct’s brand or reputation
    4. create or circulate content or communications that are materially off brand, inaccurate, inappropriate, or likely to misrepresent Contractors Direct or the Affiliate Programme

    10.3 Any use of the Contractors Direct name, brand, logo, marketing copy, or other materials must be appropriate, accurate, and consistent with any brand standards or usage instructions provided by Contractors Direct from time to time.

    10.4 Contractors Direct may require an Affiliate to amend, suspend, remove, or cease using any content, promotion, communication, or representation relating to Contractors Direct, its services, or the Affiliate Programme where Contractors Direct reasonably considers that such material is inaccurate, off brand, misleading, unlawful, non compliant, or harmful to its reputation.

  • 11. Social Media, Influencer Activity, and Legal Compliance

    11.1 Where an Affiliate promotes Contractors Direct, the Affiliate Programme, or related services through social media, content creation, influencer activity, advertising, or any public communication, the Affiliate is solely responsible for ensuring that such activity complies with all applicable laws, regulations, platform rules, permit requirements, advertising requirements, disclosure requirements, and media content standards in the United Arab Emirates.

    11.2 This includes, where relevant, compliance with requirements relating to advertising disclosures, influencer licensing or permit obligations, promotional content, paid endorsements, public representations, and any other legal or regulatory requirements.

    11.3 Contractors Direct accepts no responsibility or liability for any content independently created, published, distributed, or promoted by an Affiliate.

    11.4 Any fine, penalty, sanction, claim, investigation, complaint, or legal consequence arising from an Affiliate’s content, conduct, promotion, publication, or non compliance with applicable law shall be the sole responsibility of the Affiliate.

  • 12. Contractors Direct Responsibilities

    12.1 Contractors Direct will manage the qualification, commercial handling, and delivery route for referred opportunities at its discretion.

    12.2 Contractors Direct will use reasonable efforts to provide Affiliates with periodic updates regarding the status of their referred opportunities, subject to confidentiality, data protection requirements, and commercial sensitivity.

    12.3 Nothing in these Terms and Conditions requires Contractors Direct to accept, pursue, quote for, convert, or continue to pursue any Referral, nor to disclose confidential commercial information to an Affiliate regarding the handling of a referred opportunity.

  • 13. Confidentiality and Data Protection

    13.1 Each party shall keep confidential any non public commercial, operational, financial, technical, or client information received in connection with the Affiliate Programme, except where disclosure is required by law or expressly authorised in writing.

    13.2 Affiliates must only share personal data where they have a lawful basis to do so and must comply with all applicable privacy and data protection laws and requirements.

    13.3 Contractors Direct may use referral information for the purpose of assessing, contacting, managing, and progressing referred opportunities and for administering the Affiliate Programme.

    13.4 Affiliates should also review Contractors Direct’s Privacy Policy for further information on how personal data is collected, processed, and used.

  • 14. Intellectual Property

    14.1 All intellectual property rights in the Contractors Direct name, logo, branding, website, content, materials, and marketing assets remain the property of Contractors Direct or its licensors.

    14.2 Nothing in these Terms and Conditions grants an Affiliate any ownership right in or to any Contractors Direct intellectual property.

    14.3 Affiliates may use Contractors Direct branding or marketing materials only to the extent expressly permitted by Contractors Direct and in accordance with any brand guidance issued by us from time to time.

  • 15. No Employment, Agency, or Partnership

    15.1 Participation in the Affiliate Programme does not make any Affiliate an employee, worker, consultant, agent, representative, franchisee, or partner of Contractors Direct.

    15.2 Affiliates have no authority to bind Contractors Direct, negotiate on our behalf, enter into commitments in our name, or incur liability for or on behalf of Contractors Direct.

  • 16. Suspension or Removal from the Programme

    16.1 Contractors Direct may suspend, restrict, or remove an Affiliate from the Affiliate Programme at any time where we reasonably consider this necessary to protect the business, our clients, the brand, or the integrity of the Affiliate Programme.

    16.2 This includes cases involving suspected fraud, misuse, bad faith, misleading promotion, legal non compliance, reputational harm, off brand content, non payment risk, breach of these Terms and Conditions, or any conduct which Contractors Direct reasonably considers inappropriate.

    16.3 Suspension or removal shall not affect any referral fee already properly approved and due before the date of suspension or removal, subject always to these Terms and Conditions.

  • 17. Limitation of Liability

    17.1 To the fullest extent permitted by law, Contractors Direct shall not be liable for any indirect, incidental, consequential, punitive, or special loss arising out of or in connection with the Affiliate Programme, including loss of profit, loss of revenue, loss of opportunity, reputational loss, or loss arising from third party claims.

    17.2 Contractors Direct shall not be liable for any fine, penalty, sanction, claim, complaint, or legal proceeding arising from any content, promotion, statement, representation, publication, or public communication created, made, or published by an Affiliate.

    17.3 Contractors Direct’s total aggregate liability in connection with the Affiliate Programme shall not exceed the total referral fees paid or payable to the relevant Affiliate in respect of the matter giving rise to the claim.

  • 18. Term, Changes, and Withdrawal

    18.1 Contractors Direct may update, revise, suspend, limit, or withdraw the Affiliate Programme or these Terms and Conditions at any time.

    18.2 Any updated version may be published on our website or otherwise notified to Affiliates and shall take effect from the stated effective date.

    18.3 Affiliates remain responsible for ensuring that their promotions, publications, and content remain compliant with applicable law and regulation at all times, including where legal or regulatory requirements change.

  • 19. Referral Claim Period

    19.1 Unless otherwise agreed in writing by Contractors Direct, no referral fee shall be payable where the referred opportunity has not become a Successful Referral within 12 months of the date the Referral was first logged by Contractors Direct.

    19.2 After expiry of the period referred to in clause 19.1, Contractors Direct shall have no further liability to pay a referral fee in respect of that Referral.

  • 20. Governing Law and Jurisdiction

    20.1 These Terms and Conditions shall be governed by the laws of the United Arab Emirates and the applicable laws and regulations of the Emirate of Dubai.

    20.2 Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Dubai.

  • 21. Summary and Acceptance

    Referral fees are only payable on successful qualifying projects and are subject to the full Affiliate Programme Terms and Conditions.

    By signing up to the Affiliate Programme, you confirm that you have read and accepted these Terms and Conditions and agree to comply with all applicable laws and regulations, including any UAE laws relating to advertising, social media activity, and data protection.
